General terms and conditions of sale:
Our customers shall
have understood our general terms and conditions of sale, at the time of
finalizing the agreement. We reserve the right to demand payment of an
account before accepting an order or before the commencement of works. In
such case, the balance is always payable at the end of the services
rendered. In the case of a payment demand, the non-settlement on an agreed
due date shall render payable, immediately and fully, the outstanding
balance. The issue of drafts of bills or exchange as a payment guarantee
does not carry a novation. On the due date, any late invoice payments or
payment demands shall be subject, with effect from the due date, to an
interest rate of 12% per annum, without the requirement of a formal notice
of payment, the interest being due by the only date of the term.
Furthermore, in the case of the partial payment of an invoice, or of an
agreed due date, the invoice or due date will be increased with a global
indemnity and forfeit of 20%, with a minimum of 2,000 Francs, as a penalty
clause, after the sending of a registered letter, drawing the debtors
attention to the application of this clause. In such case where our
obligations are executed incorrectly, the co-contracting party shall be
entitled to demand an indemnity of the same order. In the event of a
dispute, only County Courts of Tournai shall be empowered to
act. |
